Terms & Conditions

1. Parties

These Terms & Conditions (“Terms”) govern the supply of telecommunications services by NYX Telecommunications Limited (“NYX-TEL”, “we”, “us”), a company registered in Hong Kong under Business Registration No. 62161747 (D-U-N-S 66-390-8180), with its registered office at 21st Floor, Yat Chau Building, 262 Des Voeux Road Central, Sheung Wan, Hong Kong, to the business counterparty (“Customer”, “you”) that executes a service order, rate sheet, or interconnect agreement with us.

2. B2B Only

NYX-TEL sells exclusively on a business-to-business (B2B) basis. Services are provided to licensed carriers, operators, resellers, platform providers and enterprises for their own communications traffic. We do not sell to end-users or consumers directly. The Customer warrants that it is purchasing services for business use and not as a consumer.

3. Services

Services comprise wholesale DID numbers, two-way voice origination and termination, SIP trunking, number porting, and related provisioning via API or manual order. Specific service types, capacities, rates and minimum commitments are defined in the applicable order, rate sheet or service schedule agreed between the parties.

4. Provisioning & Spec Sheets

Each DID number is provisioned with a specification sheet detailing type, PSTN/mobile classification, capacity, NRC/MRC, caller-ID support, codecs and regulatory requirements. Provisioning lead times are indicative. NYX-TEL is not liable for delays caused by third-party carriers, regulators or numbering authorities.

5. Acceptable Use

The Customer shall not use the services for any unlawful, fraudulent or abusive purpose, including but not limited to robocalling without consent, caller-ID spoofing, traffic pumping, or routing of unsolicited bulk communications. NYX-TEL may suspend or terminate services immediately upon detecting prohibited use.

6. Compliance

The Customer is solely responsible for complying with all applicable laws and regulations in the jurisdictions where numbers are assigned and traffic originates or terminates, including licensing, data protection, interception lawful-access, and caller-ID presentation rules. NYX-TEL may require documentation evidencing such compliance before provisioning.

7. Fees & Invoicing

Fees are set out in the agreed rate sheet. Invoices are payable in the currency stated on the invoice. NYX-TEL maintains a single multi-currency account and expects prompt settlement. Failure to pay on time may result in suspension of services and forfeiture of assigned numbers.

8. Payment & Credit

NYX-TEL operates a strict B2B-only payment policy. New accounts may be subject to credit assessment, prepayment, or a security deposit before activation. Disputed charges must be notified in writing within 14 days of the invoice date.

9. Term & Termination

These Terms apply for the duration of the service relationship and any renewal periods. Either party may terminate for material breach, uncured within 30 days of written notice. Upon termination, all assigned numbers revert to NYX-TEL and outstanding fees become immediately payable.

10. Liability

To the maximum extent permitted by law, NYX-TEL's aggregate liability for any claim arising out of the services is limited to the fees paid by the Customer for the service giving rise to the claim in the preceding month. NYX-TEL is not liable for indirect, consequential, or loss-of-profit damages.

11. Warranties

Services are provided on a reasonable-efforts, carrier-grade basis. NYX-TEL does not warrant uninterrupted or error-free service and gives no guarantee as to the quality of third-party terminating carriers.

12. Confidentiality & Data

Each party shall keep the other's confidential information confidential. NYX-TEL processes traffic data solely for billing, service delivery and fraud prevention, in line with applicable data protection law.

13. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region. The parties submit to the exclusive jurisdiction of the Hong Kong courts, without prejudice to NYX-TEL's right to seek interim relief in any competent jurisdiction.

14. Changes

NYX-TEL may update these Terms from time to time. Continued use of the services after a change constitutes acceptance of the revised Terms. The latest version is always available at this page.
